Terms of Service

These Terms of Service ("Terms") are an agreement between you and Wise Marketeer ("we", "us") about your use of Wise Marketeer, including the website wisemarketeer.com and its Google Ads, SEO, Email, WhatsApp and other marketing tools (the "Service"). By creating an account or using the Service you agree to these Terms, our Privacy Policy and our Acceptable Use Policy. If you use the Service for a company, you confirm you can accept these Terms on its behalf.

1. The Service

Wise Marketeer provides software that helps businesses plan, create, send and measure marketing, including AI-assisted features. Some tools connect to accounts you hold with third parties such as Google Ads, Amazon Web Services, Meta (WhatsApp) or messaging carriers. We may add, change or remove features over time; if we remove a feature that is central to a paid plan, we'll tell you in advance.

2. Your account

• You must be at least 18 and provide accurate information, including a working email address.
• Keep your password secure. You're responsible for activity under your account; tell us promptly if you suspect unauthorized access.
• The Service is intended for business use.

3. Plans, free trials and billing

• Each tool has a free plan and paid plans. Current prices and limits are shown on our pricing page and in each tool.
• Paid plans are billed monthly in advance through our payment processor, Stripe, and renew automatically until cancelled.
• A free trial, where offered, converts to the paid plan at the end of the trial unless you cancel before then. We email you a reminder a few days before a trial ends.
• If you switch plans, the new plan starts immediately and the unused time on your previous plan is credited to your account balance and applied to future invoices.
• Prices exclude taxes unless stated. We may change prices with at least 30 days' notice; changes apply from your next billing period.
• If a payment fails, we may limit paid features until it is resolved, and your account may return to the free plan.
• Fees charged by third parties are separate and are billed by them directly, not by us — for example your Google Ads spend, WhatsApp conversation fees from Meta, or SMS fees from your messaging provider.

4. Usage limits

Plans include limits (for example emails per month, contacts, AI requests or rule counts). When you reach a limit, the related feature pauses until the next period or until you upgrade. We may also apply reasonable technical limits to protect the Service for all customers.

5. Your content and data

• You keep ownership of everything you upload or create in the Service, including contact lists, message content, campaigns and website data ("Your Content").
• You give us permission to host, process and transmit Your Content only as needed to provide and support the Service, as described in our Privacy Policy.
• For personal data about your own contacts and customers, you are the controller and we act as your processor: we process it only on your instructions, which are given by how you use the Service.
• You're responsible for having the rights and consents needed for Your Content — in particular, permission to message the people on your lists.

6. Acceptable use

You must follow our Acceptable Use Policy and all laws that apply to your marketing, including anti-spam, telemarketing, privacy and advertising laws. We may pause sending, suspend features or close accounts that put recipients, our infrastructure or other customers' deliverability at risk.

7. Third-party platforms

When you connect Google Ads, Meta, Amazon Web Services, a messaging provider or another service, your use of that service is governed by its own terms and policies. Those companies decide whether to approve ads, message templates, sending domains or phone numbers, and may limit or suspend your accounts with them; we don't control those decisions. You can disconnect a third-party account at any time.

8. AI features

Some features generate text or recommendations with AI models (see our AI Disclosure). AI output can be inaccurate, incomplete or unsuitable. Review it before you publish, send or act on it; you are responsible for what you use. Recommendations are informational and are never applied to your connected accounts without your action. The Service does not provide legal, financial or tax advice, and we don't guarantee any particular marketing result.

9. Availability and support

We work to keep the Service available and secure but don't guarantee it will be uninterrupted or error-free. We may perform maintenance, and some features depend on third-party services that can be unavailable.

10. Suspension and termination

You can stop using the Service and cancel paid plans at any time. We may suspend or end access if you materially breach these Terms or the Acceptable Use Policy, if required by law, or if your use creates a risk to others; where reasonable we'll tell you first and give you a chance to fix the problem. After closure you can request an export of Your Content within 30 days, after which we may delete it as described in the Privacy Policy.

11. Disclaimers

Except as expressly stated in these Terms, the Service is provided "as is" and "as available", without warranties of any kind, to the extent permitted by law.

12. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, and each party's total liability arising out of these Terms is limited to the amount you paid us in the 12 months before the event giving rise to the claim. These limits don't apply to your payment obligations, your indemnity obligations, or liability that cannot be limited by law.

13. Indemnity

You'll defend and indemnify us against third-party claims arising from Your Content, the messages and ads you send or run, or your breach of these Terms or applicable law.

14. Changes to these Terms

We may update these Terms. For material changes we'll notify you by email or in the Service at least 14 days before they take effect. Continuing to use the Service after that means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of the jurisdiction where Wise Marketeer is established, without regard to conflict-of-law rules, and disputes will be handled by the courts located there, unless the law where you live requires otherwise.
